Goal: Elect a new board, as we aim to do annual, in accordance with our bylaws -- filed with the state and maintained.

The steps we need to complete: 1) Announce (30+ days in advance), 2) Nominations (nominate someone https://forms.gle/X5SZKSMHbvHYZ3sD6 - open until 2026-03-24 23h59 PST) (& 2.2) acceptance of), then 3) Election.

Process

The 2025 Board appoints a nominating committee, which will collect nominations & confirm willingness to stand for election & serve, with each nominee.

A membership committee board is also materializing membership status from meeting & donation records.

The steps we need to complete:

General Precedent

  • Election
    • Core members are the legal members of the non-profit. Recently & habitually board is elected from nominees with at least one affirmative vote and no blocks. In recent years, one or a few core members have offered to proxy vote *support or most notably) block, on behalf of associate members.

Caveats & Lessons

We need people willing to share their real name--for the purposes of filing taxes, and signing agreements.

Leverage & Success of the Board

Board can do well by delegating & extending authority to the community through working groups & committees, e.g. the 2025 woodshop construction & city permitting working group.

Board operates best operating supporting the spirit and practices of the large body of contributing volunteer membership.

Board Requirements

As the board is Noisebridge's legal interface to the outside world we require that board members:

  • accept their nomination
  • disclose their legal name to be reported to the state of California as well as other documents (e.g. taxes)
  • provide a form of contact to be disclosed to other members of the board
